AGREEMENT TO OUR LEGAL TERMS

We are GoSec Cloud OÜ ('Company', 'we', 'us', or 'our'), a company registered in Estonia at Järvevana tee 9, 11314 Tallinn.

We operate the website https://www.gosec.cloud (the 'Website') as well as any other related products and services that refer to or link to these legal terms (the 'Legal Terms') (collectively, the 'Services').

These Legal Terms constitute a legally binding agreement made between you, whether personally or on behalf of an entity ('you'), and GoSec Cloud OÜ, concerning your access to and use of the Services. By accessing the Services, you acknowledge that you have read, understood, and agree to be bound by all of these Legal Terms. If you do not agree with all of these Legal Terms, you are expressly prohibited from using the Services and must discontinue use immediately.

Supplemental terms and conditions or documents that may be posted on the Services from time to time are hereby expressly incorporated herein by reference. We reserve the right, in our sole discretion, to make changes or modifications to these Legal Terms from time to time. We will alert you about any changes by updating the 'Last updated' date of these Legal Terms.

The Services are intended for users who are at least 18 years old. Persons under the age of 18 are not permitted to use or register for the Services.

We recommend that you print a copy of these Legal Terms for your records.

1. OUR SERVICES

The information provided when using the Services is not intended for distribution to or use by any person or entity in any jurisdiction or country where such distribution or use would be contrary to law or regulation.

The Services are not tailored to comply with industry-specific regulations (HIPAA, FISMA, etc.), so if your interactions would be subjected to such laws, you may not use the Services.

2. INTELLECTUAL PROPERTY RIGHTS

Our intellectual property

We are the owner or the licensee of all intellectual property rights in our Services, including all source code, databases, functionality, software, website designs, audio, video, text, photographs, and graphics in the Services (collectively, the 'Content'), as well as the trademarks, service marks, and logos contained therein (the 'Marks').

Our Content and Marks are protected by copyright and trademark laws and treaties around the world.

The Content and Marks are provided in or through the Services 'AS IS' for your internal business purpose only.

Your use of our Services

Subject to your compliance with these Legal Terms, we grant you a non-exclusive, non-transferable, revocable license to access the Services and download or print a copy of any portion of the Content to which you have properly gained access, solely for your internal business purpose.

No part of the Services and no Content or Marks may be copied, reproduced, aggregated, republished, uploaded, posted, publicly displayed, encoded, translated, transmitted, distributed, sold, licensed, or otherwise exploited for any commercial purpose whatsoever, without our express prior written permission.

We reserve all rights not expressly granted to you in and to the Services, Content, and Marks.

Any breach of these Intellectual Property Rights will constitute a material breach of our Legal Terms and your right to use our Services will terminate immediately.

Your submissions and contributions

Please review this section and the 'PROHIBITED ACTIVITIES' section carefully prior to using our Services to understand the rights you give us and obligations you have when you post or upload any content through the Services.

Submissions: By directly sending us any question, comment, suggestion, idea, feedback, or other information about the Services ('Submissions'), you agree to assign to us all intellectual property rights in such Submission.

Contributions: The Services may invite you to chat, contribute to, or participate in blogs, message boards, online forums, and other functionality where you may create, submit, post, display, transmit, publish, distribute, or broadcast content and materials ('Contributions').

When you make Contributions, you grant us a license: an unrestricted, unlimited, irrevocable, perpetual, non-exclusive, transferable, royalty-free, fully-paid, worldwide right and license to use, copy, reproduce, distribute, sell, publish, broadcast, store, publicly perform, publicly display, reformat, translate, and exploit your Contributions.

You are responsible for what you post or upload.

We may remove or edit your content: Although we have no obligation to monitor any Contributions, we shall have the right to remove or edit any Contributions at any time without notice.

3. USER REPRESENTATIONS

By using the Services, you represent and warrant that: (1) all registration information you submit will be true, accurate, current, and complete; (2) you will maintain the accuracy of such information; (3) you have the legal capacity and agree to comply with these Legal Terms; (4) you are not a minor; (5) you will not access the Services through automated means; (6) you will not use the Services for any illegal purpose; and (7) your use will not violate any applicable law.

If you provide any information that is untrue, inaccurate, not current, or incomplete, we have the right to suspend or terminate your account and refuse any and all current or future use of the Services.

4. USER REGISTRATION

You may be required to register to use the Services. You agree to keep your password confidential and will be responsible for all use of your account and password. We reserve the right to remove, reclaim, or change a username you select if we determine that such username is inappropriate.

5. PURCHASES AND PAYMENT

We accept the following forms of payment: Visa, MasterCard, PayPal.

You agree to provide current, complete, and accurate purchase and account information for all purchases made via the Services.

Sales tax will be added to the price of purchases as deemed required by us. All payments shall be in Euro.

You agree to pay all charges at the prices then in effect for your purchases.

We reserve the right to refuse any order placed through the Services.

6. SUBSCRIPTIONS

Billing and Renewal

Your subscription will continue and automatically renew unless cancelled. You consent to our charging your payment method on a recurring basis without requiring your prior approval for each recurring charge.

Cancellation

All purchases are non-refundable. You can cancel your subscription at any time by logging into your account. Your cancellation will take effect at the end of the current paid term.

Fee Changes

We may, from time to time, make changes to the subscription fee and will communicate any price changes to you in accordance with applicable law.

7. PROHIBITED ACTIVITIES

You may not access or use the Services for any purpose other than that for which we make the Services available.

As a user of the Services, you agree not to: Systematically retrieve data; Trick, defraud, or mislead us; Circumvent security features; Disparage or harm us and/or the Services; Harass another person; Make improper use of support services; Violate applicable laws; Upload viruses or malware; Engage in automated use; Delete copyright notices; Impersonate another user; Interfere with networks; Reverse engineer software; Use for competitive purposes.

8. USER GENERATED CONTRIBUTIONS

The Services may provide you with the opportunity to create, submit, post, display, transmit, perform, publish, distribute, or broadcast content and materials.

When you create or make available any Contributions, you represent and warrant that: The creation does not infringe third party rights; You are the creator and owner; You have required consents; Your Contributions are not false or misleading; They are not unsolicited advertising; They are not obscene or harassing; They do not violate applicable laws.

Any use of the Services in violation of the foregoing violates these Legal Terms and may result in termination of your rights to use the Services.

9. CONTRIBUTION LICENSE

By posting your Contributions, you automatically grant us an unrestricted, unlimited, irrevocable, perpetual, non-exclusive, transferable, royalty-free, fully-paid, worldwide right and license to use, copy, reproduce, distribute, sell, publish, broadcast, store, publicly perform, publicly display, reformat, translate, and distribute such Contributions.

This license applies to any form, media, or technology now known or hereafter developed.

We do not assert any ownership over your Contributions. You retain full ownership of all of your Contributions.

We have the right to edit, redact, re-categorize, or delete any Contributions at any time and for any reason.

10. SOCIAL MEDIA

As part of the functionality of the Services, you may link your account with online accounts you have with third-party service providers ('Third-Party Account').

By granting us access to any Third-Party Accounts, you understand that we may access any content that you have provided ('Social Network Content').

Your relationship with the third-party service providers is governed solely by your agreement(s) with such third-party service providers.

You have the ability to disable the connection between your account on the Services and your Third-Party Accounts at any time.

11. SERVICES MANAGEMENT

We reserve the right to: (1) monitor the Services for violations; (2) take appropriate legal action; (3) refuse, restrict access to, or disable your Contributions; (4) remove excessive files and content; and (5) otherwise manage the Services.

12. PRIVACY POLICY

We care about data privacy and security. Please review our Privacy Policy. By using the Services, you agree to be bound by our Privacy Policy.

The Services are hosted in the European Union. If you access from any other region, you consent to the transfer and processing of your data in the EU.

13. COPYRIGHT INFRINGEMENTS

We respect the intellectual property rights of others. If you believe that any material on the Services infringes upon any copyright you own, please notify us.

Please be advised that you may be held liable for damages if you make material misrepresentations in a Notification.

14. TERM AND TERMINATION

These Legal Terms shall remain in full force and effect while you use the Services.

We reserve the right, without notice or liability, to deny access to and use of the Services to any person for any reason.

If we terminate your account, you are prohibited from registering and creating a new account under your name or any third party's name.

15. MODIFICATIONS AND INTERRUPTIONS

We reserve the right to change, modify, or remove the contents of the Services at any time without notice.

We cannot guarantee the Services will be available at all times.

You agree that we have no liability for any loss caused by your inability to access the Services during any downtime.

16. GOVERNING LAW

These Legal Terms are governed by and interpreted following the laws of Estonia.

If you are an EU consumer, you additionally possess the protection provided by obligatory provisions of the law in your country of residence.

GoSec Cloud OÜ and yourself both agree to submit to the non-exclusive jurisdiction of the courts of Tallinn, Estonia.

17. DISPUTE RESOLUTION

Informal Negotiations

The Parties agree to first attempt to negotiate any Dispute informally for at least thirty (30) days before initiating arbitration.

Binding Arbitration

Any dispute shall be determined by one arbitrator in accordance with European Court of Arbitration rules. The seat of arbitration shall be Tallinn, Estonia.

Restrictions

The Parties agree that any arbitration shall be limited to the Dispute between the Parties individually. There is no right for any Dispute to be arbitrated on a class-action basis.

Exceptions

The following Disputes are not subject to arbitration: (a) Disputes seeking to enforce intellectual property rights; (b) Disputes related to theft or unauthorized use; and (c) claims for injunctive relief.

18. CORRECTIONS

There may be information on the Services that contains typographical errors, inaccuracies, or omissions. We reserve the right to correct any errors and to change or update the information at any time.

19. DISCLAIMER

THE SERVICES ARE PROVIDED ON AN 'AS-IS' AND 'AS-AVAILABLE' BASIS. YOU AGREE THAT YOUR USE OF THE SERVICES WILL BE AT YOUR SOLE RISK. WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, IN CONNECTION WITH THE SERVICES.

20. LIMITATIONS OF LIABILITY

IN NO EVENT WILL WE BE LIABLE FOR ANY INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES. OUR LIABILITY SHALL AT ALL TIMES BE LIMITED TO THE AMOUNT PAID BY YOU DURING THE SIX (6) MONTH PERIOD PRIOR TO ANY CAUSE OF ACTION ARISING.

21. INDEMNIFICATION

You agree to defend, indemnify, and hold us harmless from any loss, damage, liability, claim, or demand arising out of: (1) your Contributions; (2) use of the Services; (3) breach of these Legal Terms; (4) breach of your representations; (5) violation of third party rights; or (6) any harmful act toward any other user.

22. USER DATA

We will maintain certain data that you transmit to the Services. Although we perform regular backups, you are solely responsible for all data that you transmit. You agree that we shall have no liability for any loss or corruption of any such data.

23. ELECTRONIC COMMUNICATIONS

Visiting the Services, sending us emails, and completing online forms constitute electronic communications. You consent to receive electronic communications, and you agree that all agreements and notices satisfy any legal requirement.

YOU HEREBY AGREE TO THE USE OF ELECTRONIC SIGNATURES, CONTRACTS, ORDERS, AND OTHER RECORDS.

24. CALIFORNIA USERS

If any complaint with us is not satisfactorily resolved, you can contact the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs.

25. MISCELLANEOUS

These Legal Terms and any policies posted by us constitute the entire agreement between you and us.

Our failure to exercise or enforce any right shall not operate as a waiver of such right.

We may assign any or all of our rights and obligations to others at any time.

If any provision is determined to be unlawful, void, or unenforceable, that provision is deemed severable.

There is no joint venture, partnership, employment or agency relationship created between you and us.
